1. General

These Terms and Conditions ("these Terms") apply to the website operated by Tsuen Lap Electrical Engineering Co ("the Company", "we", "us") and to all enquiries, quotations, sales, purchases, recovery and consignment transactions between customers and the Company via this website, WhatsApp, telephone or other channels. By using this website or transacting with the Company, you acknowledge that you have read, understood and agreed to be bound by these Terms. The Company reserves the right to amend these Terms at any time; the latest version published on the website shall prevail.

2. Nature of the Platform

This website is a product display and enquiry platform. It does not support online ordering or payment. Product information, prices and stock levels shown on this website do not constitute an offer or commitment by the Company. Submission of a quote list, material sourcing request or materials-for-sale information by a customer is of an enquiry nature only and does not constitute an order or any binding agreement. All transactions are concluded only upon our staff confirming the price, verifying stock availability and both parties agreeing to the terms.

3. Product Description and Discrepancies

Materials sold by the Company are surplus engineering supplies, guaranteed to have never been installed or used, but may not be brand-new in unopened packaging. The Company states the condition, actual quantity (e.g. metres, pieces) and batch origin of each product truthfully, provided that:

• Images on the website are for reference only; the actual appearance, packaging or batch labels of goods may differ slightly from the images;
• The actual length of bulk materials (such as remnant cable reels) is subject to measurement at the time of delivery or collection, and reasonable tolerances may apply;
• Customers should inspect the model, specification and quantity of goods at the time of delivery or collection, and complete the transaction only when satisfied;
• Once goods have been inspected and delivered, no return or exchange will be accepted unless the goods materially fail to match the particulars confirmed by both parties.

4. Price, Payment and Delivery

• All prices are quoted in Hong Kong dollars and are subject to the final quotation confirmed by the Company. The Company reserves the right to adjust prices at any time; confirmed orders are not affected.
• Payment methods are agreed between our staff and the customer when an order is finalised (e.g. FPS, bank transfer). Goods will not be released until payment has been received in full, unless otherwise agreed in writing.
• Free delivery to a designated location within Hong Kong is offered for a single purchase of HK$5,000 or above (remote areas or special delivery requirements are subject to separate arrangement). For orders below that amount, the customer may choose self-collection or bear the delivery charges.
• Delivery times are estimates only. The Company accepts no liability for any loss arising from delayed delivery.

5. Title and Risk

Risk of loss of or damage to the goods passes to the customer upon delivery of the goods to the customer (or its designated carrier). Title to the goods passes to the customer only upon receipt by the Company of the full purchase price. Until title passes, the customer shall not resell, pledge or create any encumbrance over the goods.

6. Material Recovery Services

Recovery services provided by the Company are subject to the following terms:

• Each recovery case is assessed on the marketability of the materials, the Company's existing stock levels and the expected resale value. The Company has absolute discretion to decide whether to purchase any materials, without giving any reason.
• Submission of material information by a customer (whether via the website form or WhatsApp) does not constitute any commitment by the Company to purchase.
• Recovery prices are determined by the Company based on the condition and marketability of the materials. Preliminary quotations are for reference only; the final price is subject to confirmation after on-site inspection.
• Free on-site collection is arranged where the estimated value of the goods reaches HK$3,000 or above. For goods below that amount, the customer shall deliver the materials to the Company's office or hold them until the threshold is met, whereupon collection will be arranged separately.
• The customer warrants that the materials offered for sale are legally owned by the customer, obtained from lawful sources, and free from any third-party rights or encumbrances. The customer shall bear full responsibility for any claims arising from the provenance of the materials.

7. Consignment Services

• Consignment materials are offered for sale via this platform on the customer's behalf. Upon a successful sale, the Company charges 30% of the sale price as platform service and handling fees, and the delivery costs of the completed sale are borne by the Company.
• If consigned materials are ultimately not sold, the Company charges no fees whatsoever.
• The storage location, custody arrangements and delivery method of consigned materials are separately agreed by both parties according to actual circumstances.
• During the consignment period, title to the materials remains with the customer; the risk of loss of or damage to materials while in the customer's custody is borne by the customer.
• The Company makes no guarantee as to the sale price or the time of sale of consigned materials.

8. Intellectual Property

All content on this website, including but not limited to text, images, photographs, logos, designs, layout and code, is the property of the Company or used with authorisation, and is protected by the intellectual property laws of Hong Kong and international jurisdictions. No person may reproduce, republish, modify, distribute or otherwise use any content of this website for commercial purposes without the prior written consent of the Company. Third-party brand names and trademarks shown on this website belong to their respective owners; the Company's sale of goods of such brands does not imply any agency, authorisation or affiliation with such brand owners.

9. Third-Party Links and Services

Links to, or integration with, third-party platforms (including but not limited to WhatsApp) provided on this website are for customers' convenience only. Such platforms are operated independently by their respective operators, and the Company accepts no responsibility for their content, availability, privacy practices or security. Customers use such platforms at their own risk and subject to their terms.

10. Prohibited Conduct and Breach

When using this website or transacting with the Company, you must not:

• Provide false, untrue, incomplete or misleading information (including but not limited to the provenance, condition, quantity and photographs of materials);
• Sell or attempt to sell materials that are unlawfully obtained, stolen, disposed of without authorisation or subject to third-party rights;
• Impersonate another person, use another person's data without authorisation, or conceal material defects or the actual condition of materials;
• Abuse the forms, quote list or enquiry functions of this website, including submitting spam, repeated invalid enquiries, malicious submissions or any transaction intention not made in good faith;
• Interfere with, disrupt or attempt to gain unauthorised access to the operation, servers or systems of this website, or collect data of other users;
• Use the content, product information or images of this website for any unauthorised commercial purpose;
• Engage in any conduct that violates the laws of Hong Kong or damages the interests or reputation of the Company.

If you breach any of the above prohibitions, the Company has the right to immediately refuse service, cancel submitted enquiries or transactions, terminate any agreement with you, and reserves the right to take legal action and report to the relevant authorities. You shall bear in full any loss, expense or legal costs suffered by the Company arising from your breach.

11. Customer Representations and Warranties

When transacting with the Company, you represent and warrant that:

• You are aged eighteen or above and have the legal capacity to enter into binding contracts;
• All information you provide is true, accurate and complete, and will be updated promptly;
• Materials you offer for sale are legally owned by you, obtained from lawful sources, and free from any third-party rights, encumbrances or disputes;
• Materials you purchase will be used only for lawful engineering purposes and in compliance with the laws and safety standards of Hong Kong;
• You will not use the goods for any unlawful purpose or in any manner that damages the goodwill of the Company.

12. Force Majeure

The Company shall not be liable for any failure or delay in performing any of its obligations under these Terms (including but not limited to delivery, recovery or consignment arrangements) caused by acts of God, fire, flood, typhoon, epidemic, war, riot, strike, governmental action, change of law, interruption of utilities, network failure or other events beyond the Company's reasonable control ("Force Majeure Events"). The affected obligations shall be suspended for the duration of the Force Majeure Event; if the event persists for more than thirty days, either party may terminate the affected transaction by written notice, and neither party shall have any claim against the other.

13. Limitation of Liability, Indemnity and Waiver

To the maximum extent permitted by law:

• The Company accepts no liability for any error, omission, inaccuracy or outdated information on this website, or for any direct, indirect, incidental or consequential loss (including but not limited to loss of profits or losses from project delays) arising from the use of this website.
• The Company's aggregate liability in respect of any transaction shall not exceed the actual sale amount of that transaction.
• The installation and use of engineering materials must be carried out by suitably qualified professionals in accordance with applicable laws and safety standards. The Company accepts no liability for the suitability of any goods for any particular engineering purpose, or for consequences arising from their installation or use.
• The customer agrees to indemnify the Company in full and hold the Company harmless against any loss, claim, action or expense (including legal costs) suffered by the Company arising from the customer's breach of these Terms or from the provenance of materials sold by the customer.
• Nothing in these Terms excludes or limits any liability which cannot be excluded or limited by law.

14. Complaints and Dispute Resolution

The Company will respond within a reasonable time and endeavour to follow up. The parties agree that any dispute arising from these Terms or any transaction shall first be resolved through good-faith negotiation; failing which, it shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

15. General Provisions

• These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
• If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.
• No failure or delay by the Company in exercising any right under these Terms constitutes a waiver of that right.
• In the event of any inconsistency between the Chinese and English versions of these Terms, the English version shall prevail.
